This agreement establishes the terms of participation in the byteSense Beta Partner Program and documents the mutual commitments between byteSense Inc. and the participating dental practice.

Program Overview
The byteSense Beta Partner Program is a 90-day introductory practice integration program designed to introduce the bioSense™ Wellness Device — the world's first intraoral AI health intelligence platform — to a carefully selected group of pioneer dental practices. This program is structured to ensure practice success, patient satisfaction, and meaningful feedback that improves the byteSense platform for all future practices.
What This Program Is Not
This agreement does not create an employment relationship, franchise agreement, or exclusive dealership. byteSense retains all intellectual property rights to the bioSense™ device, platform, brand, and all associated materials. The practice's role is as an authorized presenting provider of the bioSense™ wellness device during the Beta period.
byteSense Commitments to the Practice
During the 90-day Beta period, byteSense Inc. commits to the following:
Zero training and onboarding fees — all educational resources, training materials, sales systems, and onboarding support are provided at no charge
Discounted lab pricing — Beta practices receive an exclusive discounted rate on all bioSense™ device fabrication through Florida Oral Labs during the Beta period
Dedicated personal support from Natasha Blake, CSIO, directly accessible at 909-527-9602
Complete Sales & Marketing toolkit — all scripts, objection counters, social media templates, consent forms, and patient education materials
Prompt case turnaround through our partner lab, Florida Oral Labs, with an estimated 10–14 business day fabrication window
Responsive issue resolution — any case quality, device, or patient satisfaction concern will be addressed directly by the byteSense team
12-month device warranty on all fabricated devices covering manufacturing defects
Priority consideration for Certified Provider status and preferred positioning upon launch of the full provider program
Practice Commitments to byteSense
By signing this agreement, the practice commits to the following during the 90-day Beta period:
Designate a Primary and Secondary Practice Advocate with defined roles and responsibilities as outlined in the onboarding package
Complete the Medit lab setup connecting to Florida Oral Labs before submitting the first case
Present bioSense™ consistently to all clinically eligible patients, with a goal of presenting to a minimum of 5 qualifying patients per month
Submit all cases with a signed Patient Consent Form on file in the patient's chart and included with the case submission
Submit intraoral scans that meet the published scanning criteria as detailed in the onboarding package
Use approved messaging and language — always positioning bioSense™ as a wellness monitoring device, never as a medical device, and never making diagnostic, treatment, or curative claims
Collect patient payment before or at the time of case submission — the practice is responsible for collecting device fees from patients
Provide honest, timely feedback to byteSense on platform experience, device quality, and patient responses to improve the program
Maintain confidentiality of the pricing, program structure, and proprietary materials contained in this onboarding package
Financial Terms
The practice is responsible for:
Lab fees payable to Florida Oral Labs for each fabricated device, at the Beta discounted rate communicated separately. Lab fee is due per case at time of submission or as invoiced by the lab.
Patient device pricing is at the practice's discretion within the recommended ranges provided. The practice retains all patient fees collected above the lab fee.
No platform fees, subscription fees, or royalties are owed to byteSense during the 90-day Beta period.
Standard pricing applies after the Beta period concludes. byteSense will provide 30 days' advance notice of post-Beta pricing structure.
Brand & Compliance Requirements
The practice agrees to comply with the following brand and regulatory standards:
bioSense™ will always be presented as a wellness monitoring device — never as a medical device, diagnostic tool, or therapeutic treatment
No claims will be made that the device diagnoses, treats, cures, or prevents any disease, condition, or disorder
All patient-facing language will be consistent with approved messaging in the onboarding Sales Training module
The byteSense name, logo, and bioSense™ trademark will be used only in connection with the device as provided — no modifications, alterations, or unauthorized uses
All online mentions of byteSense or bioSense™ on the practice's website or social media will accurately represent the device as a wellness product
Important Compliance Note
Failure to comply with brand and regulatory requirements — including any marketing materials that position bioSense™ as a medical device or make diagnostic claims — may result in immediate termination of the Beta partnership. byteSense takes regulatory compliance seriously to protect both patients and participating practices.
Termination
Either party may terminate this Beta Partnership Agreement with 14 days written notice. Upon termination: all in-process cases will be completed and delivered; all outstanding lab fees remain payable; all byteSense proprietary materials must be returned or destroyed. byteSense reserves the right to terminate immediately in cases of brand, regulatory, or consent form compliance violations.
Limitation of Liability
byteSense Inc. is not liable for patient outcomes, clinical results, or any patient dissatisfaction beyond the scope of device fabrication quality. The practice remains solely responsible for clinical decisions, patient selection, and patient communication regarding the device. byteSense makes no warranty that any specific patient health outcome will result from use of the bioSense™ device.
Acknowledgments — Check All That Apply
I have read and understand the complete byteSense Beta Partner Onboarding Package, including the Product Education, Patient Selection, Scanning Protocol, Sales Training, and Consent Form sections.
I understand that bioSense™ is a wellness device, not a medical device, and I commit to presenting it accurately and in compliance with the language guidelines provided.
I understand that all patient consent forms must be signed by the patient and retained in the patient chart before any case is submitted, and I commit to maintaining this standard for every case.
I understand the financial terms of this Beta program — that I am responsible for lab fees per device, that training and onboarding are provided at no charge during the Beta period, and that I set patient pricing at my practice's discretion within recommended ranges.
I commit to providing genuine, honest feedback to byteSense during the Beta period to help improve the platform, device, and practice integration system.
